Terms & Conditions

These Terms & Conditions ("Terms", "Terms of Service", or "Agreement") govern your access to and use of the Maldra website, applications, software, products and related services.
Please read these Terms carefully before creating an account or using Maldra.
By creating an account, accessing Maldra, starting a trial, purchasing a subscription, or otherwise using any Maldra service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use Maldra.
1. About Maldra
Maldra is a software-as-a-service platform operated by:

Maldra provides software tools designed to help businesses manage aspects of their operations, which may include:
- inventory;
- products;
- stock;
- sales;
- customers;
- suppliers;
- invoices;
- quotations;
- receipts;
- business records;
- business administration;
- reporting;
- subscriptions; and
- other business-management functionality.
The features available to you depend on your subscription, account type and the Maldra products you use.
2. Definitions
For these Terms:
"Maldra", "we", "us", or "our" means Maldra Limited.
"Customer", "you", or "your" means the individual or legal entity using Maldra.
"Business" means the business or organisation associated with a Maldra account.
"User" means an individual authorised by a Customer to access or use the Customer's Maldra account or Business.
"Services" means the software, applications, websites, features and services provided by Maldra.
"Subscription" means a paid or trial plan that provides access to specified Maldra features for a defined period.
"Business Data" means information, records, files, products, customers, suppliers, transactions and other content entered, uploaded or generated by a Customer through Maldra.
"Third-Party Services" means services provided by third parties that integrate with, support or are used alongside Maldra.
4. Account Registration
Certain Maldra features require you to create an account.
You agree to provide information that is accurate and reasonably up to date.
You must not:
- impersonate another person;
- create an account using another person's identity without authorisation;
- provide deliberately false registration information;
- create accounts for fraudulent purposes;
- use another person's account without permission; or
- attempt to circumvent account or subscription restrictions.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for activity conducted through your account unless the activity resulted from circumstances outside your reasonable control and you promptly notify Maldra.
6. Acceptable Use
You may use Maldra only for lawful business and operational purposes.
You must not use Maldra to:
- violate applicable law;
- commit fraud;
- facilitate financial crime;
- store or distribute unlawful content;
- infringe another person's intellectual-property rights;
- impersonate another person or organisation;
- distribute malware;
- interfere with Maldra's infrastructure;
- attempt unauthorised access to Maldra systems;
- probe, scan or test Maldra systems for vulnerabilities without written authorisation;
- circumvent security mechanisms;
- interfere with another customer's account;
- intentionally overload or disrupt the service;
- reverse engineer or attempt to extract source code except where applicable law expressly permits it;
- scrape or systematically extract Maldra data without permission;
- use Maldra to operate an unlawful scheme;
- use Maldra to transmit spam or malicious communications; or
- use Maldra in a way that could reasonably damage the security, availability or integrity of the service.
We reserve the right to investigate suspected violations of these Terms.
7. Your Business Responsibilities
Maldra is software that helps businesses manage their operations.
Maldra does not operate your business for you.
You remain responsible for:
- the accuracy of information entered into Maldra;
- the legality of your business activities;
- your products and services;
- your pricing;
- your customers;
- your suppliers;
- your employees;
- your tax obligations;
- your accounting obligations;
- your statutory obligations;
- your regulatory compliance;
- your business decisions; and
- the manner in which you use information generated by Maldra.
Maldra does not provide legal, accounting, tax, financial, investment or professional business advice unless a particular service is expressly described as such.
8. Business Data
You retain your rights in Business Data that you submit to Maldra, subject to the rights necessary for Maldra to provide the Services.
You grant Maldra a limited, non-exclusive, worldwide licence to host, store, process, transmit, reproduce and otherwise use Business Data only to the extent reasonably necessary to:
- provide the Services;
- maintain the Services;
- secure the Services;
- troubleshoot technical problems;
- provide customer support;
- prevent fraud or abuse;
- comply with legal obligations; and
- improve the reliability and functionality of the Services.
Maldra does not acquire ownership of your Business Data merely because you store it on Maldra.
9. Information About Your Customers, Employees and Suppliers
Maldra customers may enter information belonging to their own customers, employees, suppliers and other individuals.
You are responsible for ensuring that you have the appropriate rights, permissions, lawful basis, notices and authority required to collect and provide such information to Maldra.
You must not use Maldra to process personal information unlawfully.
Where Maldra processes information on behalf of a Business customer, the Customer remains responsible for determining the purposes for which that information is collected and used.
Maldra's Privacy Policy explains how personal information is handled by Maldra.
10. Data Protection
Maldra processes personal information in accordance with applicable data-protection requirements.
Our Privacy Policy forms part of the overall framework governing use of the Services.
You must review the Privacy Policy before using Maldra.
Where applicable, you remain responsible for complying with data-protection laws relating to information that you enter into Maldra about your own customers, employees, suppliers or other individuals.
Nothing in these Terms is intended to remove or restrict mandatory rights provided under applicable data-protection law.
11. Free Trials
Maldra may offer free trials or promotional access to certain plans.
Where a trial is offered:
- the duration of the trial will be communicated to you;
- available features may be limited;
- Maldra may modify or discontinue promotional trials;
- a trial does not necessarily include every feature available under a paid subscription; and
- Maldra may limit eligibility for repeated or abusive use of promotional trials.
Unless otherwise stated at the time of signup, a free trial does not require immediate payment.
If a paid subscription is not activated after the trial, access to paid features may be restricted when the trial ends.
12. Subscriptions
Some Maldra features require a paid subscription.
Subscription plans, pricing, features and billing periods are displayed on the applicable Maldra pricing or billing interface.
A subscription may be:
- monthly;
- annual; or
- another period expressly offered by Maldra.
Your subscription provides access to the features included in the plan you select, subject to these Terms.
Maldra may introduce new plans, modify existing plans or discontinue plans.
Where a change materially affects an existing paid subscription, Maldra will provide appropriate notice where required.
13. Subscription Prices
Prices displayed by Maldra are generally stated in Nigerian Naira unless otherwise specified.
The applicable price is the price presented to you at the time of subscription or renewal, subject to any applicable taxes, discounts or promotional terms.
Maldra may change subscription prices in the future.
Where a price change affects an existing recurring subscription, Maldra will provide reasonable notice where appropriate before the new price applies to a future billing period.
14. Payment Processing
Maldra uses third-party payment infrastructure, including Paystack, to process payments.
Maldra does not directly collect or store your complete bank-card or banking credentials.
Payment information is handled by the applicable payment provider under its own terms and privacy practices.
By initiating a payment, you authorise the applicable payment provider to process the transaction according to the payment information and subscription you selected.
A payment may fail for reasons including:
- insufficient funds;
- expired payment credentials;
- bank restrictions;
- payment-provider restrictions;
- technical problems;
- fraud-prevention controls; or
- other circumstances outside Maldra's direct control.
Maldra may restrict or suspend paid features where an applicable subscription payment remains unsuccessful.
15. Automatic Renewal
Where you subscribe to a recurring plan, your subscription may renew automatically for the applicable billing period unless cancelled before renewal.
The renewal amount will be based on the applicable subscription price at the time of renewal, subject to any applicable notice requirements.
You are responsible for maintaining a valid payment method where automatic renewal applies.
16. Cancellation
You may cancel a recurring subscription through the available Maldra billing functionality or by contacting Maldra support where applicable.
Unless otherwise stated:
- cancellation prevents future renewal;
- cancellation does not necessarily reverse charges already processed;
- access may continue until the end of the paid billing period; and
- certain subscription or add-on fees may be non-refundable except where required by law or expressly stated otherwise.
Where an account is cancelled, Business Data may remain available for a limited period before deletion or de-identification, subject to our Privacy Policy and applicable retention requirements.
17. Refunds
Unless otherwise stated by Maldra or required by applicable law, subscription payments are generally non-refundable once a billing period has begun.
This does not prevent Maldra from issuing a refund or credit at its discretion in appropriate circumstances.
Examples may include:
- duplicate charges;
- confirmed billing errors;
- an accidental charge caused by a technical issue;
- circumstances where a refund is required by applicable law; or
- other circumstances Maldra determines warrant an adjustment.
Refund decisions do not create an obligation to issue the same refund in future circumstances.
Where a payment was processed by Paystack or another payment provider, the refund may be subject to the provider's processing procedures.
18. Invoice & Quote Maker
Maldra may provide an Invoice & Quote Maker feature or add-on.
Where applicable:
- the add-on may require a separate subscription or additional fee;
- availability depends on the Customer's plan;
- generated invoices, quotations and receipts remain the Customer's responsibility;
- Customers are responsible for verifying the accuracy of generated documents; and
- Maldra does not guarantee that a generated document satisfies every legal, tax or accounting requirement applicable to the Customer.
Maldra's document-generation tools are software tools and should not be treated as professional accounting or legal advice.
19. Business Transactions
Maldra may provide tools for recording sales, purchases, stock movements, invoices, quotations and other transactions.
Maldra does not independently verify every transaction entered by a Customer.
You are responsible for ensuring that:
- transaction amounts are correct;
- product information is accurate;
- inventory information is accurate;
- customer information is correct;
- tax information is correctly entered where applicable;
- invoices and receipts are properly reviewed;
- stock adjustments are authorised; and
- your records comply with applicable business requirements.
20. Maldra Is Not a Bank or Payment Institution
Maldra is a software provider.
Maldra does not:
- operate your bank account;
- hold your money as a banking institution;
- provide banking services;
- provide investment services;
- act as a financial institution;
- guarantee payment transactions; or
- guarantee that a third-party payment will succeed.
Where payments are processed through Paystack or another payment provider, that provider is responsible for its own payment-processing services.
21. Third-Party Services
Maldra may rely on or integrate with third-party services.
These may include infrastructure, authentication, payment, hosting, communications and other technology services.
Third-party services may have:
- separate terms;
- separate privacy policies;
- separate availability;
- separate security practices; and
- separate fees.
Maldra is not responsible for failures caused exclusively by a third-party service that Maldra does not control.
However, Maldra will take reasonable steps to address material service issues within its control.
22. Google Sign-In
Maldra may offer Google authentication.
If you choose to use Google authentication:
- your use of Google authentication is subject to Google's applicable terms;
- Maldra does not receive your Google password;
- authentication may depend on Google's availability; and
- you remain responsible for securing your Google account.
23. Service Availability
Maldra aims to provide a reliable service but does not guarantee uninterrupted or error-free availability.
The Services may occasionally be unavailable due to:
- maintenance;
- upgrades;
- infrastructure failures;
- network problems;
- security incidents;
- third-party service failures;
- circumstances beyond Maldra's reasonable control; or
- other technical or operational issues.
Where reasonably practical, Maldra may provide notice of planned maintenance that materially affects availability.
24. Changes to the Service
Maldra is continuously developing its products.
We may:
- add features;
- remove features;
- modify interfaces;
- change workflows;
- improve security;
- modify technical infrastructure;
- discontinue obsolete functionality; or
- otherwise change the Services.
We will not intentionally remove a material paid feature in a way that unfairly defeats an existing paid subscription without appropriate consideration of affected customers and applicable obligations.
25. Beta and Experimental Features
Maldra may occasionally make beta, preview or experimental functionality available.
Such functionality may:
- contain errors;
- have limited functionality;
- change without notice;
- be discontinued; or
- not be suitable for critical business operations.
Unless expressly stated otherwise, beta features are provided on an "as available" basis.
26. Intellectual Property
Maldra and its licensors retain all rights, title and interest in:
- the Maldra software;
- source code;
- object code;
- application design;
- interfaces;
- logos;
- trademarks;
- graphics;
- documentation;
- website content;
- software architecture;
- proprietary processes; and
- other intellectual property belonging to Maldra.
Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, sell, sublicense, lease or commercially exploit Maldra's proprietary materials.
27. Your Content
You retain ownership of Business Data and other content you lawfully submit to Maldra.
You represent that you have the rights necessary to submit such content and permit Maldra to process it for the purposes described in these Terms and the Privacy Policy.
You must not upload content that:
- infringes intellectual-property rights;
- violates privacy rights;
- violates applicable law;
- contains malicious software;
- is fraudulent;
- is unlawful; or
- creates an unreasonable security or operational risk.
28. Feedback
If you provide Maldra with suggestions, ideas, feedback or recommendations concerning the Services, you grant Maldra permission to use that feedback without restriction or compensation, provided that such use does not disclose your confidential Business Data.
Feedback may be used to improve Maldra's products and services.
29. Security
You must not attempt to compromise Maldra's security.
Prohibited activities include:
- unauthorised penetration testing;
- credential attacks;
- exploiting vulnerabilities without authorisation;
- bypassing authentication;
- introducing malicious code;
- denial-of-service attacks;
- attempting to access another customer's data;
- reverse engineering security controls; or
- attempting to obtain credentials belonging to another user.
If you discover a potential security vulnerability, please report it responsibly to Maldra rather than exploiting it.
Security reports may be sent to:
30. Account Suspension
Maldra may temporarily suspend an account where reasonably necessary to:
- protect the security of the Services;
- investigate suspected fraud;
- investigate serious violations of these Terms;
- prevent abuse;
- address a material security threat;
- comply with legal obligations;
- respond to lawful authority; or
- address an unpaid subscription where applicable.
Where reasonably possible, Maldra will seek to provide notice and an opportunity to resolve the issue.
Immediate suspension may occur where continued access presents a material security, legal or operational risk.
31. Account Termination
You may terminate your account in accordance with the applicable account and subscription procedures.
Maldra may terminate or restrict an account where:
- the Customer materially breaches these Terms;
- the Customer engages in unlawful activity through the Services;
- continued access creates a significant security risk;
- the Customer attempts to compromise Maldra;
- payment obligations remain materially overdue;
- the Customer uses the Services fraudulently; or
- termination is required by law.
Where appropriate, Maldra may provide notice and an opportunity to remedy a breach before termination.
32. Effect of Termination
After termination:
- your right to access the Services may end;
- paid access may end according to the applicable subscription terms;
- certain information may be retained where required or permitted by law;
- Business Data may be deleted or de-identified according to our Privacy Policy and applicable retention practices; and
- provisions that are intended to survive termination will continue to apply.
These may include provisions relating to:
- intellectual property;
- payment obligations;
- confidentiality;
- limitations of liability;
- indemnification;
- dispute resolution; and
- other provisions that by their nature should survive termination.
33. Data Export Before Termination
Where reasonably available, Customers should export required Business Data before terminating their account.
Maldra may provide reasonable assistance with data export where technically available and subject to verification and applicable service limitations.
After the applicable retention period, Business Data may be deleted or de-identified.
Maldra cannot guarantee recovery of data after the applicable deletion process has occurred.
34. Backups
Maldra may maintain backups for security, disaster recovery, operational continuity and other legitimate purposes.
Backups may persist for a limited period after deletion or account termination.
A backup copy does not necessarily mean that deleted information remains available for normal account access.
Maldra may allow backup systems to expire or overwrite data according to its operational retention procedures.
35. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as reasonably provided" basis.
Maldra does not guarantee that:
- the Services will always be uninterrupted;
- the Services will always be error-free;
- every feature will operate without defects;
- every calculation or generated document will be suitable for every business purpose;
- the Services will satisfy every regulatory or industry requirement applicable to your business;
- information entered by users will be accurate;
- third-party integrations will always remain available; or
- the Services will meet every individual business requirement.
Nothing in these Terms excludes a warranty, right or protection that cannot lawfully be excluded.
36. Business Decisions
Maldra provides software tools and does not make business decisions on your behalf.
You remain responsible for decisions concerning:
- pricing;
- purchasing;
- stock;
- sales;
- customers;
- suppliers;
- employees;
- taxation;
- accounting;
- financial management; and
- other business activities.
Information displayed by Maldra should be reviewed by the Customer before being relied upon for important business decisions.
37. Limitation of Liability
To the maximum extent permitted by applicable law, Maldra will not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the Services.
This may include, where legally permitted:
- loss of profits;
- loss of revenue;
- loss of anticipated savings;
- loss of business opportunities;
- loss of goodwill;
- business interruption;
- loss arising from third-party services; or
- other indirect commercial losses.
Maldra's liability for direct losses arising from the Services will, to the maximum extent permitted by applicable law, be limited to the amount actually paid by the affected Customer to Maldra for the Services during the twelve months immediately preceding the event giving rise to the claim.
This limitation does not apply where applicable law prohibits such limitation or where liability cannot lawfully be excluded or limited.
38. Data Loss
Maldra maintains operational safeguards and may maintain backups, but no software service can guarantee that data will never be lost or corrupted.
You should maintain appropriate copies or exports of critical business records.
Maldra will take reasonable measures to restore affected services and data following incidents within its control, subject to the nature of the incident and available backups.
39. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Maldra Limited and its officers, employees, contractors and service providers from claims, liabilities, damages, losses and reasonable costs arising from:
- your unlawful use of Maldra;
- your violation of these Terms;
- your violation of another person's rights;
- Business Data that you unlawfully submit or process;
- your violation of applicable law; or
- your misuse of the Services.
This provision does not require you to indemnify Maldra for losses caused by Maldra's own unlawful conduct or matters that cannot lawfully be transferred to you.
40. Confidentiality
Each party should take reasonable steps to protect confidential information received from the other party.
Maldra will treat confidential Business Data as confidential except where disclosure is:
- necessary to provide the Services;
- authorised by the Customer;
- required by law;
- required to protect the security of the Services;
- necessary to investigate fraud or abuse; or
- otherwise permitted by these Terms or the Privacy Policy.
41. Communications
You agree that Maldra may send you communications necessary to provide the Services.
These may include:
- account notifications;
- security alerts;
- billing notices;
- transaction notifications;
- service announcements;
- support responses;
- subscription notifications;
- important changes to the Services; and
- legal notices.
You may opt out of non-essential marketing communications where applicable.
Opting out of marketing communications does not prevent Maldra from sending essential service or transactional communications.
42. WhatsApp and Support
Maldra may make customer support available through WhatsApp and other communication channels.
The current Maldra WhatsApp contact is:
WhatsApp is operated by a third party and its own terms and privacy practices apply to your use of WhatsApp.
Do not send sensitive payment credentials, passwords or other information through WhatsApp unless Maldra specifically requests information through an appropriate secure process.
43. Force Majeure
Maldra will not be responsible for failure or delay caused by circumstances beyond its reasonable control.
Such circumstances may include:
- natural disasters;
- widespread network failures;
- telecommunications failures;
- major infrastructure failures;
- cyberattacks;
- war;
- civil unrest;
- government action;
- regulatory restrictions;
- power failures;
- failures of major third-party infrastructure providers; or
- other events that could not reasonably have been prevented or controlled.
44. Changes to These Terms
Maldra may update these Terms when reasonably necessary to reflect:
- changes to the Services;
- new features;
- pricing or subscription changes;
- security requirements;
- legal or regulatory developments;
- business operations; or
- other legitimate operational requirements.
Where a change materially affects your rights or obligations, Maldra may provide reasonable notice.
Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.
If you do not agree to a material change, you may stop using the affected Services and, where applicable, cancel your subscription.
45. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that cannot legally be excluded.
46. Dispute Resolution
If a dispute arises between you and Maldra, the parties should first attempt to resolve the dispute in good faith through direct communication.
You should contact:
The parties should provide reasonable information concerning the dispute and allow a reasonable opportunity for resolution before commencing formal proceedings, except where urgent legal relief is reasonably required.
Where a dispute cannot be resolved amicably, it may be submitted to a court of competent jurisdiction in Nigeria.
Nothing in this section prevents a party from seeking urgent legal or equitable relief where necessary.
47. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.
The remaining provisions will continue in full effect.
48. No Waiver
If Maldra does not immediately enforce a provision of these Terms, that does not mean Maldra has permanently waived its right to enforce that provision.
Any waiver must be express and does not automatically apply to future breaches.
49. Assignment
You may not transfer or assign your rights or obligations under these Terms without Maldra's prior written consent, except where such transfer is permitted by law and does not materially affect Maldra's rights.
Maldra may transfer or assign its rights and obligations as part of a merger, acquisition, restructuring, sale of assets or similar corporate transaction, subject to applicable law.
50. Entire Agreement
These Terms, together with:
- the Maldra Privacy Policy;
- applicable subscription or pricing terms;
- applicable add-on terms;
- other policies expressly incorporated into the Services; and
- any written agreement specifically entered into between Maldra and a Customer,
constitute the agreement governing your use of the relevant Services.
If there is a conflict between these Terms and a specific written agreement entered into between Maldra and a Customer, the specific written agreement will prevail to the extent of the conflict.
51. No Partnership or Agency
Using Maldra does not create:
- a partnership;
- joint venture;
- employment relationship;
- franchise;
- agency relationship; or
- fiduciary relationship
between you and Maldra.
Neither party may represent that it has authority to bind the other unless expressly authorised.
52. Notices
Maldra may provide notices through:
- email;
- the Maldra application;
- the Maldra website;
- account notifications;
- other electronic communication methods; or
- other reasonable means.
You are responsible for keeping your account contact information reasonably up to date.

54. Acceptance
By creating an account, accessing Maldra, starting a trial, purchasing a subscription, or using the Services, you acknowledge that:
- you have read these Terms;
- you understand them;
- you agree to be bound by them; and
- you have the authority to enter into this Agreement where you are acting on behalf of a business or organisation.
